What each category holds
- DIRECTOR ELECTIONS: Elections of directors, contested or not. This site reports counts only for this category and never stores the wording of a director record.
- SECTION 14A SAY-ON-PAY VOTES: The advisory votes required by section 14A of the Securities Exchange Act: approval of executive pay, how often that vote is held, and pay tied to a merger or sale.
- AUDIT-RELATED: Ratifying or appointing the outside auditor and other audit matters.
- INVESTMENT COMPANY MATTERS: Matters particular to funds as issuers: advisory contracts, fundamental investment policies, fund mergers.
- SHAREHOLDER RIGHTS AND DEFENSES: Voting rights, special meetings, written consent, supermajority rules, poison pills and similar defences.
- EXTRAORDINARY TRANSACTIONS: Mergers, acquisitions, asset sales, reorganisations and similar one-off transactions.
